Payment Terms

1. Definitions
- Vermillion Health, we, us, or our: Vermillion Health Technologies (UK) Limited (Company number 16873746)
- Alevia PRO Device, Alevia Device or Device: Alevia or Alevia PRO hardware device and any accessories, components, firmware, documentation, and accompanying materials supplied with it.
- Alevia App: The mobile application and associated software provided by Vermillion Health for use with the Device.
- Consumer User: A User who obtains the Device for personal use and acts as a consumer under applicable consumer protection laws.
- Business User: An organisation, NHS trust, clinic, or other entity (and its personnel) that uses the Alevia Device or accesses the Alevia App or Cloud Services under an agreement with that organisation.
- User: Any individual who accesses, uses, wears, operates, receives, or is provided with a Device, whether as a Consumer User or through a Payer.
- Payer: Any healthcare provider, NHS organisation, clinic, hospital, insurer, employer, research institution, public health authority, or other organisation that purchases or provides the Device on behalf of a User.
- Terms: These Payment Terms.
- Consumer Contracts Regulations: The Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, as amended from time to time.
- Fees: The subscription fees, charges, taxes, and other amounts payable by a User for subscriptions, services, or functionality associated with the Device.
- Payment Methods: Credit cards, debit cards, digital wallets, bank transfers, Klarna payment solutions, and any other payment methods made available by Vermillion Health from time to time.
- Start Date: The date on which the User first activates, accesses, receives, or begins using the Device, whichever occurs first.
2. Orders and Purchases
2.1 Accepted Payment Methods
We accept payment methods displayed at checkout, which may include credit cards, debit cards, bank transfers, digital wallets, Klarna payment solutions, and other payment methods supported by our payment service providers. Availability may vary by location, device, account status, and eligibility requirements.
Where Klarna payment options are offered, eligibility is determined solely by Klarna. Vermillion Health does not control Klarna's approval decisions, financing terms, payment schedules, or account management. Users should consult Klarna's terms and privacy information before selecting a Klarna payment option.
2.2 Secure Payment Processing
Payment information is processed securely by Stripe. Vermillion Health does not store full payment card details on its systems.
2.3 Payment Authorisation
By submitting an order, the User authorises Vermillion Health and its payment service providers to verify the payment method and obtain payment for all amounts due. Orders may be subject to validation checks and authorisation procedures before acceptance.
2.4 Payment Timing
Payment must be received in full before products are dispatched or services are activated, unless an alternative payment arrangement is explicitly agreed.
2.5 Currency
All prices are displayed and charged in British pound sterling (£) unless otherwise stated.
2.6 Taxes and VAT
Prices shown on the web shop include VAT as indicated during checkout. Applicable taxes will be calculated and displayed before order confirmation.
2.7 Order Confirmation
An order confirmation email will be sent after successful payment authorisation. A contract for the purchase of a Device or subscription is formed only when Vermillion Health accepts the order and confirms shipment of the Device or activation of the subscription.
2.8 Order Acceptance
Vermillion Health reserves the right to refuse, cancel, or reject any order before dispatch or activation where payment cannot be verified, fraud is suspected, the Device is unavailable, pricing errors have occurred, or compliance with applicable laws requires refusal.
2.9 Availability
All Devices and subscriptions are subject to availability. Vermillion Health reserves the right to limit quantities or discontinue products at any time.
2.10 Delivery
Estimated delivery times are provided for information only and are not guaranteed. Delivery terms are set out in the Alevia Hardware Terms of Use.
2.11 Right to Withhold Shipment
Vermillion Health reserves the right to delay shipment, activation, or provision of any Device, subscription, software access, or related services until full payment has been received and verified.
2.12 Bank Transfer Orders
Orders paid via bank transfer will be processed once cleared funds have been received in Vermillion Health's bank account. Consumer User and Business Users should quote the order reference in all payment communications. Where payment by bank transfer is selected, payment must be received within fourteen (14) days of order placement unless otherwise specified. Vermillion Health may cancel any order for which cleared funds have not been received within that period.
3. Business User/Payer Payment Terms
3.1 Business User/Payer Invoices
Where Vermillion Health agrees to invoice a Business User, invoices must be paid within the payment period specified on the invoice. Late payment may result in suspension of services, subscription access, or future deliveries.
3.2 Late Payment Interest
For Business Users only, Vermillion Health reserves the right to charge interest on overdue amounts in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
4. Payment Issues
4.1 Payment Disputes and Chargebacks
In the event of a chargeback or payment dispute, Vermillion Health reserves the right to suspend fulfilment of orders and to provide relevant transaction information to the payment provider for investigation. Users agree to contact Vermillion Health before initiating a chargeback where a payment issue can reasonably be resolved through customer support. Nothing in this clause limits any statutory rights available to Consumer Users.
4.2 Third-Party Payment Services
Payment processing services are provided by independent third-party payment providers, including Stripe and Klarna. Vermillion Health is not responsible for interruptions, outages, delays, or failures caused by such providers, except where required by law.
4.3 Refunds
Approved refunds will normally be processed within fourteen (14) days of approval, although the time taken for funds to appear may vary depending on the payment provider and financial institution. Approved refunds will be issued to the original payment method whenever possible and in accordance with applicable consumer protection laws and Refund Policy covered in the Alevia Hardware Terms of Use.
4.4 Pricing Errors
Vermillion Health reserves the right to cancel orders where pricing or payment information has been displayed incorrectly due to technical or administrative errors.
4.5 Fraud Prevention
Vermillion Health reserves the right to conduct payment verification checks and may refuse, cancel, or delay orders suspected of fraudulent activity.
5. Subscription Terms
5.1 Initial Purchase and Included Subscription
The purchase price of the Alevia or Alevia PRO Device includes the Device together with a twelve (12) month subscription commencing on the date of Device activation or such other date as notified by Vermillion Health. The subscription is required to access and maintain the Alevia App, services, connectivity, and functionality necessary for operation of the Device.
5.2 Subscription Renewal
Following the expiry of the initial 12-month subscription period, the User must purchase and maintain an active subscription to continue using the Device.
If the subscription is not renewed before the end of the then-current subscription term:
- The Device will cease to function in whole or in part;
- Access to Alevia App, connectivity, cloud-based services, and other subscription-dependent features will be suspended or terminated; and
- Vermillion Health shall have no obligation to provide continued access to such services until a valid subscription has been renewed.
Before any automatic renewal charge is taken, Vermillion Health may provide advance notice via email or through the User's account where required by applicable law.
5.3 Subscription Cancellation
The User may choose not to renew their subscription at the end of any subscription term. Cancellation or non-renewal of a subscription does not entitle the User to return the Device or receive a refund for the Device purchase price.
Unless otherwise required by applicable law, subscription fees already paid for a subscription period are non-refundable once that subscription period has commenced.
Where a subscription is cancelled:
- The subscription will remain active until the end of the paid subscription period;
- No further subscription fees will be charged after the expiry of the current subscription term unless the User chooses to renew;
- Access to subscription-dependent functionality will end upon expiry of the subscription; and
- The User may need to purchase a new subscription to restore full functionality of the Device.
5.4 Automatic Renewal and Billing
Where a User purchases a subscription through Vermillion Health, subscription fees may be charged and managed using Stripe or another authorised payment service provider.
By purchasing a subscription and providing a valid payment method, the User authorises Vermillion Health and its payment service provider to automatically charge the applicable subscription fee at the start of each renewal period unless the subscription is cancelled no later than fourteen (14) days before the renewal date.
Vermillion Health will use reasonable efforts to notify Users of upcoming renewals where required by applicable law.
5.5 Renewal Term
Unless otherwise stated at the time of purchase, each subscription will automatically renew for successive periods of equal duration to the initial subscription term. The renewal fee will be the subscription fee in effect at the time of renewal.
5.6 Renewal Payment Failure
If a renewal payment cannot be successfully processed:
- Vermillion Health or its payment provider may make additional attempts to collect payment;
- The User may be asked to update their payment information;
- The subscription may be suspended or terminated if payment is not successfully received; and
- Access to subscription-dependent Device functionality may be restricted or disabled.
5.7 Cancelling Automatic Renewal
The User may cancel automatic renewal at any time through their Vermillion Health account, through any subscription management portal made available by Vermillion Health, or by contacting Vermillion Health customer support.
Cancellation will prevent future renewal charges but will not affect the User's access to the subscription during any subscription period that has already been paid for.
Unless otherwise required by law, fees already paid for a subscription period are non-refundable.
5.8 Renewal Grace Period
Following expiration of a subscription, Vermillion Health may provide a grace period during which the User may renew their subscription before subscription-dependent functionality is suspended. Details of any applicable grace period will be communicated to the User at the time of expiry.
5.9 Subscription Fees
Information regarding current subscription fees, renewal options, subscription periods, and payment terms is available on the Vermillion Health website.
5.10 Changes to Subscription Fees
Vermillion Health may change subscription fees from time to time. Any changes will apply only to future subscription periods and will not affect any subscription period that has already been purchased.
If you are a Consumer User, you may terminate your next subscription without penalty if you do not accept a Fee increase, by giving at least fourteen (14) days’ notice before the increase takes effect; in that case, no further Fees will be charged from the effective date of the increase.
5.11 Promotional Discounts and Coupons
Promotional prices, discount codes, coupons, and special offers are subject to their specific terms and may be withdrawn, amended, or cancelled at any time. Discounts cannot be applied retrospectively unless required by law.
6. Privacy and Related Documents
6.1 Data Processing for Payments
Payment information is processed by authorised payment service providers including Stripe and Klarna in accordance with their privacy notices. Vermillion Health processes Personal Information relating to payments in accordance with its Privacy Notice available on the Vermillion Health Website.
6.2 Sale of Devices
The sale and supply of Alevia Devices, including delivery, ownership, risk, cancellation rights, returns, refunds, warranties, and statutory consumer rights, are governed by the Alevia Hardware Terms of Use. These Payment Terms govern only pricing, billing, subscriptions, payment methods, renewals, and payment-related matters.
6.3 Changes to Payment Providers
Vermillion Health may change its payment service providers from time to time. Continued use of subscriptions may require the User to provide updated payment information through the replacement payment provider.
7. Consumer Cancellation Rights
Cooling-off period (Consumer Users only): If you are a Consumer User in the UK, you have the right to cancel within fourteen (14) days of purchase without giving any reason (the “cooling-off period”), in accordance with the Consumer Contracts Regulations 2013. To cancel, contact us by submitting a clear, unambiguous cancellation request to support@vermillionhealth.com.
8. General Legal Terms
8.1 Term, Termination and Suspension
Unless terminated earlier, these Terms start on the Start Date and continue for so long as the User possesses, accesses, or uses the Device unless terminated in accordance with these Terms.
No refunds or compensation are provided upon termination, except that this clause does not affect any statutory right a Consumer User has to a refund, repair, or replacement under the Consumer Rights Act 2015 or the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.
8.2 Governing Law and Dispute Resolution
These Terms, and any dispute or claim arising out of or in connection with them, are governed by and construed in accordance with the laws of England and Wales.
For Payers: Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.
For Consumer Users: If you are a Consumer User habitually resident in Scotland or Northern Ireland, you may also bring proceedings in your local courts, and nothing in this clause affects any mandatory consumer protections available to you under the law of your country of residence.
8.3 Fair Interpretation
If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision shall be interpreted or modified only to the extent necessary, and the remaining provisions shall remain in full force and effect.
8.4 Changes to These Terms
- We may change these Terms at any time by updating them on the Vermillion Health Website. Notice may be provided by posting the updated Terms or by email. Unless stated otherwise, changes take effect immediately. Continued use constitutes acceptance.
- For Consumer Users, we will provide at least twenty-eight (28) days’ notice of any material change to these Terms before the change takes effect, by posting notice on the Website or by email.
